Strategies for the exercising of voting rights

The AIFs managed by derigo invest directly or indirectly via a subsidiary of the AIF in question in closed-end AIFs (target AIFs) and companies which are not eligible for trading on a stock exchange or which are not part of an organised market (target companies).

Reservations of consent are agreed in favour of the AIFs managed by derigo with regard to corporate action concerning a target AIF or target company. Insofar as an agreement regarding reservations of consent is not enforceable, derigo will examine compliance with the prerequisites for corporate action as stipulated in the relevant partnership agreement and will seek legal recourse if necessary. derigo only approves of corporate action if it is in line with the investment objectives and policy of the AIFs managed by derigo.

The exercising of voting rights can lead to a conflict of interests. These are handled in accordance with the conflict of interest guidelines applicable at derigo.
